    Aim Systems Customer Portal Terms of Service

    Terms of Service

    The Aim Systems Customer Portal Terms of Service (hereinafter referred to as "Terms") detail the provisions governing the legal relationship between Aim Systems, Inc. (hereinafter referred to as "Aim Systems") and users regarding the internet services (hereinafter referred to as "Services") provided through the Aim Systems Customer Portal System website (doc.aim.co.kr).
    Aim Systems does not retain individual copies of the Terms, so users are encouraged to save a copy for their reference if needed.
    Access to certain services may be restricted for users who are (a) minors under civil law or (b) prohibited from receiving services under the laws of the Republic of Korea.

    1. Definitions

    1.1. "Customer Portal" refers to the Aim Systems Customer Portal System website operated by Aim Systems to provide services. It also refers to Aim Systems as the operator of the website.
    1.2. "User" refers to any individual accessing the "Customer Portal" to receive services provided by the "Customer Portal" in accordance with these Terms, and includes both members and non-members.
    1.3. "Member" refers to a user who has registered as a member of the "Customer Portal" and can continuously access the services provided.
    1.4. "Non-member" refers to a user who uses the services provided by the "Customer Portal" without registering as a member.
    1.5. "Password" refers to a combination of letters, numbers, and special characters set by the "Member" to maintain confidentiality and verify the identity of the "Member" using the email address provided during sign up.

    2. Agreement to Terms of Service

    To gain access to services, users must agree to the Terms of Service. Generally, users can agree to the Terms by clicking the "Agree" button provided on the Aim Systems website or by using similar functionalities implemented on the site.

    3. Changes to Terms of Service

    3.1. Aim Systems may revise or amend the Terms when necessary. If the Terms are modified, Aim Systems will notify users of the changes and the reasons for them at least 10 days before implementation (or 30 days prior for changes that are unfavorable to users or significant) through announcements or other appropriate means, such as email. If the user has not provided contact information or if individual notification is impractical due to changes or other reasons, posting the revised terms on the Aim Systems Customer Portal system will be considered individual notification.
    3.2. If users do not explicitly express their objection to the revised Terms by the effective date or if they continue using the services after the Terms have been updated, they are deemed to have agreed to the changes. If users disagree with the revised Terms, their access to services provided by the Aim Systems Customer Portal may be restricted or terminated.

    4. Termination of Terms of Service and its Consequences

    4.1. These Terms shall remain effective until terminated by either the user or Aim Systems.
    4.2. Aim Systems may discontinue or terminate services at any time by providing written notice of termination at least 30 days in advance via the email address provided by the user or other appropriate means of communication.
    4.3. Aim Systems may immediately discontinue services in the following cases:A. The user commits a significant breach of the Terms.
    B. The user explicitly indicates, through actions, statements, or otherwise, an intent not to comply with the Terms.
    C. In the event that Aim Systems, or a supplier or partner providing services to or in collaboration with Aim Systems, decides to terminate the provision of all or part of the services, or if a supplier or partner decides to terminate its relationship with Aim Systems entirely.
    D. In the event that Aim Systems, or a supplier or partner providing services to or in collaboration with Aim Systems, is required by applicable laws to terminate the provision of all or part of the services (e.g., due to changes in relevant laws, or a court ruling or decision deeming all or part of the service illegal).
    4.4. The termination of these Terms shall not affect the rights, obligations, and liabilities of either the user or Aim Systems that have arisen or accrued during the effective period of these Terms.
    4.5. Once the Terms have been terminated, either by the user's disagreement with the revised Terms or by termination initiated by the user or Aim Systems, the user can no longer access the services.

    5. Service Provision and Usage Restrictions

    5.1. Aim Systems shall provide services to users.
    5.2. Unless otherwise specified in these Terms, users may only use the services for personal and non-commercial purposes. Users may not process, replicate, copy, sell, trade, resell, or use any part of the services for profit or commercial gain.
    5.3. Users must comply with these Terms and all applicable laws and regulations, including those in their place of residence or the jurisdiction in which the services are being accessed.
    5.4. Aim Systems reserves the right, at its sole discretion and without prior warning or notice, to:
    A. Modify or temporarily suspend or terminate the provision of services, or parts thereof.
    B. Limit the number of transmissions sent or received by users through the services or restrict the storage space used to provide services.
    C. Pre-screen, review, flag, filter, modify, reject, block, or remove access to the content provided through the services, including but not limited to audio files, data files, images, music, photos, software, videos, and text (hereinafter referred to as "Content").
    5.5. Aim Systems will make reasonable efforts to (a) ensure that the services are provided without unreasonable disruptions, failures, or delays, and (b) minimize disruptions, failures, or delays in the services.
    5.6. Users may only access the services through interfaces provided by Aim Systems. They must not use (or attempt to use) the services using automated tools (including software and/or hardware), functions, services, or other means (including scripts or web crawlers).
    5.7. Users must follow all instructions provided by Aim Systems regarding the use of the services and must not engage in activities that could cause disruptions or interruptions to the services, servers, networks, or equipment connected to the services.
    5.8. Some services may be accessed through mobile networks, or are particularly useful when accessed this way. Users are responsible for understanding that network providers may charge fees for network access, the duration of the connection on the mobile device, or data usage for accessing the services. It is the user's responsibility to confirm with their network provider if such charges apply before using the services.

    6. Sign Up

    6.1. Users may sign up as members by filling out the required registration form provided by the “Customer Portal” and indicating their consent to these Terms.
    6.2. The “Customer Portal” will approve the sign-up applications submitted by users according to Paragraph 1, except in the following cases:
    A. The applicant has previously lost membership status under Article 7.3 of these Terms. However, exceptions may be made if three years have passed since the loss of membership, and the applicant has obtained approval from Aim Systems to sign up.
    B. The sign-up information provided contains false details, omissions, or errors.
    C. Aim Systems determines that registering the applicant as a member would cause significant technical difficulties.
    6.3. The membership agreement is established when the approval of membership registration by the “Customer Portal” reaches the user.
    6.4. If there are changes to the information registered at the time of sign up, the member must notify the “Customer Portal” by updating their member information or by other appropriate methods within a reasonable period of time.

    7. Member Termination and Restrictions

    7.1. Members may request to terminate their membership from the “Customer Portal” at any time, and the “Customer Portal” will process the withdrawal immediately.
    7.2. The “Customer Portal” may restrict or suspend a member's membership if any of the following apply:
    A. False information was provided during the sign-up process.
    B. The member fails to fulfill financial obligations related to the use of the “Customer Portal” by the due date.
    C. The member interferes with another user’s access to the “Customer Portal” or misuses their information in a way that disrupts online operations.
    D. The member engages in activities through the “Customer Portal” that violate laws, these Terms, or public order and good morals.
    7.3. If the same violation is repeated twice or more after the “Customer Portal” restricts or suspends a member’s membership, or if the reason for restriction or suspension is not resolved within 30 days, the “Customer Portal” may terminate the member's membership.
    7.4. If the “Customer Portal” revokes a member’s membership status, their registration will be deleted. In such cases, the “Customer Portal” will notify the member and provide at least 30 days for the member to present an explanation before the membership is officially deleted.

    8. Notifications to Users

    8.1. The “Customer Portal” may send notifications to users via the email address provided by the user during sign up.
    8.2. For notifications directed to a broader audience, the “Customer Portal” may substitute individual notifications by posting the notification in the NOTICE section of the portal for at least one week. However, matters that significantly affect a specific user's transactions will be communicated individually.

    9. Advertising

    Users agree that Aim Systems may include advertisements, promotional materials, or other content as part of the service, and such materials may be displayed or provided to users for promotional purposes.

    10. Content Provided in the Service and Content Rights

    10.1. All content provided within the service, as part of the service, or accessible through the service is the responsibility and property of its respective creator. Content may include advertisements, promotional materials and documents, or other forms of sponsored content.
    10.2. Content may be protected under third-party ownership or intellectual property rights. Users are prohibited from modifying, renting, leasing, lending, selling, distributing, creating derivative works from, or licensing all or parts of the content.
    10.3. By using the service, users acknowledge that they may encounter content that is offensive, inappropriate, or disrespectful. Users accept full responsibility for risks associated with exposure to such content during their use of the service.

    11. User Content and User Content License

    11.1. By uploading, transmitting, creating, posting, or displaying user content on or through the service, users grant Aim Systems permission to use their content for the purpose of providing the service. Users further grant Aim Systems a non-exclusive, royalty-free, global license (hereinafter referred to as "User Content License") to copy, reproduce, adapt, modify, edit, distribute, translate, digitize, publish, publicly perform, and publicly display their content.
    11.2. Aim Systems will use the User Content License only within the scope necessary to provide the service.
    11.3. Aim Systems does not claim ownership of user content. Users retain copyright and other rights to the user content they provide on or through the service.
    11.4. Users are solely responsible for the protection and enforcement of intellectual property rights that exist in or are related to their content. Aim Systems has no obligation to protect or enforce user content rights on behalf of the user.

    12. Aim Systems License

    12.1. Aim Systems, along with its suppliers and licensors, retains ownership of all intellectual property rights and other rights associated with the service, regardless of whether they are registered.
    12.2. Aim Systems grants users a non-transferable, non-assignable, non-exclusive, personal, and royalty-free global license (hereinafter referred to as the "Aim Systems License") to use the service (e.g., any software, products, or materials provided as part of the service) in their provided form. This license allows users to enjoy the benefits of the service in accordance with these Terms.
    12.3. Except for the rights explicitly granted to users under these Terms, all other rights related to the service remain with Aim Systems.
    12.4. Users may not copy, edit, modify, alter, create derivative works from, reverse engineer, decompile, or otherwise extract the source code of any part of the Aim Systems service without prior written consent from Aim Systems. Users are also prohibited from granting or assigning such rights to a third party.

    13. Trademarks

    13.1. Aim Systems only grants users the right to use its services, including content, according to the terms and conditions specified by Aim Systems. This does not include the rights to the trade names, trademarks, symbols, logos, or copyrighted materials of Aim Systems.
    13.2. Users are prohibited from removing, obscuring, hiding, altering, or otherwise modifying copyright or trademark notices, ownership indicators, symbols, trademarks, service marks, trade names, logos, or other proprietary markings related to or included with the service that belong to Aim Systems or a third party.
    13.3. Users may not use the symbols, trademarks, service marks, trade names, logos, or other markings of Aim Systems or a third party in a manner that could mislead, confuse, or deceive others into believing the user is the owner, licensee, or authorized user (applies to certain cases) of such trademarks, or otherwise imply an association with the rightful owner.

    14. Privacy Protection

    14.1. To provide all or part of its services, Aim Systems may request user consent to collect and use their personal information.
    14.2. Users are responsible for providing accurate and up-to-date personal information. In the event of any changes, users must make efforts to update or notify the Customer Portal to ensure that the information remains accurate.
    14.3. Aim Systems is dedicated to protecting the personal information of users. Details about how Aim Systems protects and manages personal information during service use can be found in the Privacy Policy on the Customer Portal of Aim Systems.

    [Obligations of Aim Systems and Users]

    15. User Warranties and Representations

    15.1. The user is solely responsible for the content they provide and for any consequences arising in connection with the content (including any losses or damages incurred by Aim Systems). Specifically, the user represents and warrants to Aim Systems the following:
    A. The user owns all rights to the content or has the necessary authority to grant Aim Systems a license to use the content.
    B. User content does not infringe on any intellectual property rights or other rights of third parties.
    C. User content does not include illegal material, such as inaccurate, obscene, violent, pornographic, threatening, or defamatory content.
    D. User content must not contain viruses, harmful software, code, or similar tools and devices that could damage, impair, disable, or otherwise negatively impact the functionality and performance of the service or devices accessing such content. This applies regardless of whether the affected devices belong to Aim Systems, other users, servers, network nodes, or similar equipment owned by third parties.
    E. The user content complies with all age classification rules and legal requirements under the laws of the user’s country of residence or the country where the service is accessed (including appropriate and accurate classification and evaluation of the content, if required).
    F. The use of the user content by Aim Systems does not obligate Aim Systems to pay any financial contributions (e.g., license fees, royalties, or other charges) to a third party (royalty collection agencies in particular).
    15.2. The user agrees to indemnify and hold Aim Systems harmless from any losses, damages, liabilities, or expenses incurred due to a breach of these warranties.

    16. Aim Systems Warranties and Representations

    16.1. Unless otherwise expressly stated in these Terms, Aim Systems, along with its suppliers, partners, and/or licensors, will make every reasonable effort to provide the service. However, all warranties and conditions, whether express or implied, are disclaimed. Specifically, Aim Systems, along with its suppliers, partners, and/or licensors, makes no warranties or representations regarding the following, including but not limited to:
    A. That the service will be suitable for all purposes, meet user requirements, be error-free or defect-free, or meet all quality standards under certain circumstances.
    B. That the service will always be available to users without interruptions, faults, or delays.
    C. That the service does not infringe copyrights or violate laws in the user’s country of residence or anywhere globally.
    D. That any information (oral or written) obtained by users from Aim Systems or through the service (including materials or products) is suitable, accurate, complete, or reliable.
    E. That defects in the service, including performance, operation, or functional issues in the software provided as part of the service, will be rectified, corrected, or otherwise remedied.
    16.2. All documents or materials (including software and firmware updates) obtained from the service through downloading, installation, or other means are provided by Aim Systems "as-is," and users assume all risks associated with their use. Aim Systems is not responsible for any damages to mobile phones, software on mobile phones, computer systems, or other devices or their software, nor for any data loss resulting from downloading and/or using such documents or materials.

    17. Responsibilities of the User

    17.1. The user is fully responsible for any breaches of the following obligations:
    A. Terms of Service
    B. Applicable laws and regulations in the user's jurisdiction or the region where the service is accessed
    17.2. The user assumes full responsibility for any consequences arising from such violations (including any loss or damage caused to Aim Systems or third parties). Aim Systems shall not be held liable to the user or any third party in connection with such violations.

    18. Responsibilities of Aim Systems

    18.1. Notwithstanding the provisions of Paragraph 3 of this Article, Aim Systems shall not be liable to users for any of the following, regardless of the legal basis, contract, or theory of liability, even if Aim Systems was aware of the possibility of such loss or damage:
    A. Any indirect, incidental, special, or consequential damages.
    B. Any direct or indirect loss of income, business, actual or anticipated profits, opportunities, goodwill, or reputation.
    C. Any direct or indirect damage to, or loss of, data.
    D. Any loss or damage arising from the following:I. Breach of these Terms or other agreements between Aim Systems and the user caused by negligence on the part of Aim Systems or its suppliers, partners, and/or licensors.
    II. (a) The service (including any software, information, documents, or materials provided as part of or during the use of the service) or (b) the relationship or transactions between the user and advertisers or sponsors arising from the user's use of the service or reliance on the suitability, accuracy, completeness, reliability, or existence of advertisements (including promotional materials) provided in connection with the service.
    III. Changes, modifications, expansions, or restrictions to the service (including suspension of access to user-registered data) or the permanent or temporary termination of the service (or any part thereof).
    IV. Use of the user’s data by third parties (regardless of the user’s awareness).
    In such cases, the user is solely responsible for compensating Aim Systems for any damages and/or losses caused by the use of their data by third parties.
    18.2. If Aim Systems breaches these Terms, its liability shall be limited to the foreseeable damages that Aim Systems could reasonably have anticipated at the time of entering into the Terms based on the circumstances known at the time.
    18.3. No part of these Terms excludes or limits the liability of Aim Systems for the following:
    A. Death, personal injury, fraud, or liability under the Product Liability Act.
    B. Loss or damage for which liability or warranty cannot legally be excluded or limited under applicable law. If the laws of the user's jurisdiction do not permit the exclusion or limitation of certain warranties or terms, or the limitation or exclusion of liability for negligence, breach of contract, breach of implied conditions, or incidental or consequential damages, the liability and warranties applicable to the user and Aim Systems in such jurisdiction shall be limited to the maximum extent permitted by the applicable laws.

    19. Force Majeure

    19.1. Aim Systems shall not be held liable for failure to perform or delay in performing its obligations under these Terms due to events beyond its reasonable control ("Force Majeure Events"). Force Majeure Events include, but are not limited to: (a) unavailability of public or private communication networks, (b) laws, orders, decrees, regulations, or restrictions imposed by the government, or (c) strikes, factory closures, or other industrial disputes, civil commotion, riots, invasions, terrorist attacks or threats of terrorist attacks, war (whether declared or not), or any natural disasters.
    19.2. The performance of Aim Systems’ obligations under these Terms shall be deemed suspended for the duration of the Force Majeure Event, and the time for performance may be extended by a period equal to the duration of the Force Majeure Event.
    19.3. Notwithstanding the occurrence of the Force Majeure Event, Aim Systems will make reasonable efforts to resolve the Force Majeure Event and resume the performance of its obligations under these Terms.

    20. Links to Third-Party Sites and External Content

    The service may include hyperlinks to third-party content, resources, and services ("external resources"), such as other websites. Aim Systems is not responsible for, nor does it have control over, the content (including advertisements, products, or other materials) provided, made available, or displayed to users through such external resources. Aim Systems is also not liable for any damage or loss resulting from the user's reliance on or use of such content (including its availability, accuracy, applicability, or completeness).

    21. Claims and Notification Procedure for Infringement of Intellectual Property and Other Rights

    21.1. Aim Systems reserves the right, in compliance with applicable laws and in response to copyright infringement or violations of other regulations, to block (either temporarily or permanently) access for users who repeatedly infringe copyright or violate other related laws.
    21.2. If a user receives notice of copyright infringement or other legal violation concerning content, user-generated content, or any materials displayed with the service, they must send the notice to [miracom@miracom-inc.com].

    22. Confidentiality

    22.1. The service may include the confidential information of Aim Systems (this includes, but is not limited to, information designated as confidential, recognized as trade or business secrets, or otherwise understood to be confidential, or provided to the user as confidential information).
    22.2. Unless otherwise stated in these terms, the user shall (a) keep such information confidential indefinitely and not disclose it without prior written consent from Aim Systems, and (b) not record or use such information except as necessary for the purposes of these Terms.
    22.3. If disclosure of Aim Systems' confidential information is required by applicable laws, Paragraph 2 of this Article does not apply. In such cases, the user shall immediately notify Aim Systems about the disclosure to the extent permitted by the applicable law.

    23. Remedies and Dispute Resolution

    For remedies related to damages or disputes arising from the content business or use of the content provided by the service, users may apply for dispute mediation with the Content Dispute Resolution Committee in accordance with Article 30 of the Content Industry Promotion Act.

    24 General Provisions

    24.1. The legal relationship between Aim Systems and the user is governed exclusively by these Terms. Any statements, declarations, or agreements made elsewhere, whether directly or indirectly, in writing or verbally, or through advertisements, shall not be binding on Aim Systems unless explicitly confirmed in writing by Aim Systems.
    24.2. Aim Systems may provide notices regarding the service, including changes to these terms or termination of the service or parts thereof, by email, standard mail, or postings on the service.
    24.3. If Aim Systems does not exercise or enforce its legal rights or remedies specified in these terms or under applicable law, this shall not be considered a waiver of those rights or remedies, and Aim Systems retains the ability to enforce them at any time.
    24.4. If any provision of these terms is determined to be invalid, illegal, or unenforceable (in whole or in part) by a competent court, the validity, legality, and enforceability of the remaining provisions shall remain unaffected.
    24.5. The user may not transfer, assign, pledge, or otherwise dispose of any rights or obligations arising from these Terms or any individually agreed terms with Aim Systems to a third party without prior written consent from Aim Systems.
    24.6. The relationship between the user and Aim Systems under these terms shall be governed by the laws of the Republic of Korea, notwithstanding any provisions of the Act on Private International Law. All disputes relating to the service between Aim Systems and the user shall fall under the exclusive jurisdiction of the court governing the user’s address at the time of filing. If no address is available, jurisdiction shall fall to the court governing the user’s residence. If both the user’s address and residence are unclear at the time of filing, the Seoul Central District Court shall have exclusive jurisdiction.
